Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Catalog Mind ("we", "us", or "our") governing your access to and use of the Catalog Mind platform and services (the "Service").

By registering for an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, you must not use the Service.

Catalog Mind is an AI-powered product catalog enrichment platform. The Service allows merchants to upload product images and data, and receive AI-generated product titles, descriptions, and attributes optimised for platforms including Shopify, Amazon, and Google Shopping.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. Where practicable, we will provide reasonable advance notice of material changes.

You must create an account to use the Service. You agree to provide accurate, complete, and up-to-date information during registration and to keep your account information current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at catalogmind.support@planetofy.com if you suspect unauthorized access to your account.

You must be at least 18 years old to create an account. Accounts are for individual use unless you have entered into a separate agreement with us for team or enterprise access.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Upload content that infringes third-party intellectual property rights
• Upload images or data containing illegal, harmful, defamatory, or obscene content
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Use the Service to generate misleading, fraudulent, or deceptive product content
• Resell, sublicense, or white-label the Service without express written permission
• Introduce malware, viruses, or malicious code into the Service
• Use automated scripts to make requests at a volume that degrades service performance for other users
• Circumvent any access controls, usage limits, or billing mechanisms

We reserve the right to suspend or terminate accounts that violate these provisions without prior notice.

Free tier. New accounts include 10 free product enrichments per month with no credit card required. The free tier renews monthly and never expires.

Paid plans. Paid subscriptions are billed monthly or annually in advance. Annual plans are billed as a single payment at a discounted rate. Prices are displayed at checkout and are exclusive of any applicable taxes.

Overages. If you exceed your plan's monthly enrichment limit, overage charges apply automatically at the rate displayed in your account settings. Overages are billed at the end of each billing period.

Payment processing. All payments are processed securely by Stripe. By providing payment details, you authorise us to charge your payment method for the applicable fees. You represent that you have the right to use the payment method provided.

Failed payments. If a payment fails, we will attempt to retry the charge. If payment cannot be collected within 7 days, your account may be downgraded to the free tier until payment is resolved.

Price changes. We may change subscription prices at any time. We will give you at least 30 days' notice of any price increase before it affects your account. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain full access until then. No cancellation fees apply.

Your account data remains accessible for 30 days after cancellation. After 30 days, your data is permanently deleted and cannot be recovered.

Refunds. Subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact catalogmind.support@planetofy.com within 14 days of the charge and we will review your case.

Our IP. The Service, including its software, design, interfaces, and documentation, is owned by or licensed to Catalog Mind and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

Your content. You retain all intellectual property rights in the product images and data you upload. By uploading content, you grant us a limited, non-exclusive licence to process your content solely for the purpose of delivering the Service to you.

Generated output. The AI-generated product titles, descriptions, and attributes produced by the Service ("Output") are provided to you for your commercial use. You are responsible for reviewing Output for accuracy and compliance with platform policies before publishing.

We do not claim ownership over Output generated from your content.

No warranty. The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated Output will be accurate, complete, or suitable for any particular purpose.

AI output. AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing and verifying all Output before use. We are not liable for losses arising from your reliance on unreviewed AI Output.

Limitation of liability. To the maximum extent permitted by law, Catalog Mind's aggregate liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the total fees you paid in the 3 months prior to the claim, or (b) USD 100. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.

You agree to indemnify and hold harmless Catalog Mind and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) content you upload that infringes third-party rights; or (c) your breach of any representation or warranty herein.

Either party may terminate this agreement at any time. You may terminate by cancelling your account. We may terminate or suspend your access immediately for material breach of these Terms, non-payment, or conduct we reasonably determine to be harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 9, and 11 survive termination.

These Terms are governed by applicable law. Any dispute arising from these Terms or your use of the Service that cannot be resolved informally shall be submitted to binding arbitration or, where arbitration is not available, to the courts of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Service at least 14 days before the changes take effect. Continued use of the Service after updated Terms take effect constitutes your acceptance of the new Terms.
